Video Promo Terms and Conditions.

Promo Video Contract: Purpose of the Agreement

This Promo Videos Agreement ("Agreement") is entered into on [Date Form Submitted] between [Client Name], hereinafter referred to as "Client," and [Vendor Name], doing business as Claridge Media LLC, hereinafter referred to as "Vendor." The purpose of this Agreement is to outline the terms and conditions under which Vendor will provide promo video services to Client.

Terms

1. Services: Vendor agrees to provide promo video services for the properties/locations as agreed upon by both parties.

2. Delivery of Videos: Vendor shall deliver the final promo videos to the Client within 10 days from the date of the video shoot. If the Client requires expedited delivery sooner than the agreed timeline, a rush fee of $150 will be incurred.

3. Property Access: The Client shall obtain all necessary permissions and authorizations for Vendor to access and record the designated properties/locations at the agreed-upon date and time.

4. Usage Rights: The Client may use the promo videos for advertising, and promotional purposes related to the project. However, the Client may not enter the videos into contests or sell them.

5. Payment: In consideration for the promo video services provided by Claridge Media LLC (Vendor), the Client agrees to pay the current rates and fees specified by Vendor. Full payment shall be made upon delivery of all final promo videos.

6. Alterations and Enhancements: Vendor may digitally enhance or remove personal items, outdoor equipment, or other elements as needed for each video. However, Vendor will not drastically alter the physical representation of the property or buildings.

7. Copyright and License: Vendor retains copyright to all promo videos produced. However, Vendor grants the Client unlimited but non-exclusive rights to use or reproduce the videos solely for the Client's business and listing purposes. The Client shall not attribute the videos to any other person or vendor.

8. Marketing and Education: Vendor may use the promo videos of the Client's project or likeness for advertising, marketing, and educational purposes.

Location and Delivery of Services

1. Location: Vendor shall provide the promo video services at the location(s) specified by the Client and agreed upon by Vendor and Client.

2. Delivery: All digital promo videos will be delivered to the Client via a secure link or file-sharing service within [number of business days] from the completion of the video shoot.

Cost, Fees, and Payment

1. Cost: The Client agrees to pay the total current rates and fees for the promo video services as specified on Vendor's website.

Impossibility

1. Force Majeure: If either party is unable to perform its obligations under this Agreement due to circumstances beyond their control, such as natural disasters, war, invasion, embargo, terrorism, or hazardous situations, that party shall be excused from further performance. In such cases, the party affected shall provide immediate notice to the other party.

2. Failure to Perform Services: In the event Vendor cannot or will not perform the promo video services as agreed, Vendor shall provide immediate notice to the Client. In such cases, Vendor shall issue a refund or credit based on a reasonably accurate percentage of Services rendered, and the Client shall be excused from any further performance and payment obligations under this Agreement.

Governing Law and Severability

1. Governing Law: This Agreement shall be governed by the laws of the State of Washington, USA.

2. Severability: If any provision of this Agreement is deemed illegal or unenforceable, the remaining provisions shall remain in full force.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.
